Terobosan Baru, BEI Percepat Pencapaian Target 1.000 Emiten dengan SPAC

JAKARTA – Bursa Efek Indonesia (BEI) optimistis target 1.000 emiten bisa tercapai dalam waktu yang tidak terlalu lama. BEI akan mempercepat pencapaian target itu dengan terobosan baru. Yakni, dengan melakukan pencatatan saham melalui special purpose acquisition company (SPAC).

Direktur Penilaian Perusahaan Bursa Efek Indonesia (BEI), I Gede Nyoman Yetna mengharapkan semakin banyak perusahaan yang tercatat di BEI. Saat ini, terdapat 740 perusahaan yang tercatat dan 24 perusahaan mengantre untuk melantai di bursa saham. Dengan demikian, total emiten hingga akhir tahun ini diperkirakan mencapai 764 perusahaan.

“Dengan dukungan dan komitmen dari pemerintah, regulator terkait, serta masih tingginya gairah pasar modal Indonesia, kami berharap dalam waktu tidak terlalu lama target 1.000 perusahaan dapat terlampaui,” kata Gede Nyoman, baru-baru ini.

BEI akan melakukan beberapa terobosan. Salah satu pilihannya memilih SPAC. Alasannya, saat ini belum ada skema investasi melalui pendirian perusahaan dengan skema SPAC. Karena itu, BEI tengah melakukan studi terkait hal ini, termasuk pemetaan regulasi yang bisa mendukung pengembangan SPAC dan regulasi baru untuk implementasinya.

Nantinya, SPAC dibentuk sponsor yang merupakan individu atau perusahaan. Perusahaan ini memiliki pengalaman dan reputasi untuk bisa mengidentifikasi dan menyelesaikan proses penggabungan usaha dengan perusahaan target untuk menjadi perusahaan publik. Di Amerika Serikat (AS), tahun 2021 ini sekitar 70% jumlah perusahaan tercatat berasal dari SPAC. Sisanya kontribusi dari proses pencatatan secara konvensional.

“Peningkatan jumlah perusahaan tercatat diakselerasi melalui pencatatan saham perusahaan yang dilakukan seperti saat ini dan melalui SPAC,” katanya.

Salah satu perusahaan Indonesia yang tengah mempertimbangkan SPAC untuk pencatatan saham (listing) adalah Traveloka. Perusahaan penyedia tiket pesawat dan hotel ini mengincar dana sebesar US$ 400 juta melalui listing di bursa Amerika Serikat (AS). Pencatatan saham ini dilakukan melalui merger dengan SPAC asal AS, Bridgetown Holdings Ltd.

Dari laporan Bloomberg, melalui merger dengan SPAC, valuasi Traveloka akan meningkat menjadi US$ 5 miliar. “Penghimpunan dana melalui PIPE (private placement in public entity) merupakan bagian dari kesepakatan merger antara Traveloka dan Bridgetown. Nilainya bisa mencapai US$ 200-400 juta, bisa berubah,” ujar salah satu sumber.

Diketahui, Bridgetown merupakan perusahaan SPAC yang disokong taipan Richard Li dan Peter Thiel. Pada Oktober 2020, Bridgetown berhasil menggalang dana sebesar US$ 595 juta dari IPO di AS. Penggalangan dana ini membuat Bridgetown sebagai SPAC terbesar di kawasan Asia Tenggara.

Soal penghimpunan dana, Ketua Dewan Komisioner Otoritas Jasa Keuangan (OJK) Wimboh Santoso mengungkapkan, penghimpunan dana melalui pasar modal hingga 3 Agustus 2021 bertumbuh sebesar 99,36% secara year on year (yoy) menjadi Rp 117,94 triliun dari 27 emiten baru yang melakukan penawaran umum. Angka ini belum termasuk realisasi IPO perusahaan start-up yaitu Bukalapak yang efektif per 6 Agustus 2021.

“Pencapaian ini hampir melampaui perolehan tahun 2020 yang sebesar Rp 118,7 triliun dan kami yakin dapat kembali mencapai level sebelum pandemi di akhir tahun 2021,” kata Wimboh.

Hingga kini terdapat 83 penawaran umum dalam proses (pipeline) senilai Rp 52,56 triliun dengan 40 penawaran umum. Di antaranya akan dilakukan melalui mekanisme penawaran umum perdana (initial public offering/IPO) saham. Ke depan, OJK berupaya meningkatkan pasokan pasar modal antara lain dengan mengakomodir calon emiten dari new economy atau start-up, termasuk unicorn dan decacorn.

Kepala Eksekutif Pengawas Pasar Modal OJK Hoesen menegaskan, OJK bersama BEI tengah menyiapkan regulasi yang sesuai karakteristik unicorn atau decacorn. Regulasi itu antara lain penyusunan pengaturan dual class share dengan multiple voting shares (MVS) yang memungkinkan para pendiri unicorn atau decacorn menjaga kepentingannya sesuai dengan visi dan misi yang direncanakan.

Ditambahkan Hoesen, OJK juga melakukan sosialisasi kepada calon emiten korporasi agar memanfaatkan pasar modal sebagai alternatif pembiayaan. Masuknya unicorn dan decacorn ke bursa saham domestik diharapkan bisa mendongkrak kapitalisasi pasar (market cap) saham emiten di BEI dan menarik lebih banyak investor, termasuk investor asing. 

“Masuknya perusahaan-perusahaan start-up tersebut diprediksi bakal lebih menggairahkan perdagangan saham di bursa dalam negeri,” katanya.(****)
